These Terms and Conditions (“Terms”) govern access to and use of the website(s) operated by MCS Formulas B.V. (“MCS Formulas”, “we”, “us”, “our”), as well as the purchase and use of all products sold by us worldwide.

By accessing our website, placing an order, or using our products, you agree to be bound by these Terms. If you do not agree, please do not use the website or order products.

1. Scope and Hierarchy of Documents

These Terms apply to all visitors, customers, and sales worldwide.

In case of conflict, these Terms prevail unless mandatory consumer law provides otherwise.

Intended Use of Products:

Products sold via this website are intended for personal end-consumer use only. Purchases made for the purpose of commercial resale, redistribution, or supply to third parties require prior written authorization from MCS Formulas B.V. under a separate trade or distribution agreement.

2. Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to place an order. By ordering, you confirm that you meet this requirement. Products may not be used for any illegal or unauthorized purpose or in violation of applicable laws or regulations.

3. No Medical or Professional Advice

All information provided on our website, in product descriptions, emails, chat, or customer support is general informational content only.

Our products:

- are food supplements;
- are not medicinal products;
- are not intended to diagnose, treat, cure, prevent, or mitigate any disease.

Nothing we provide creates a physician–patient, practitioner–client, or other professional relationship. Always consult a qualified healthcare professional before using supplements, particularly if pregnant, nursing, taking medication, or having a medical condition.

4. Product Use, Dosage & Practitioner Advice – Liability Wall

Products must be used strictly in accordance with the instructions and dosage stated on the product label.

MCS Formulas B.V. does not approve, recommend, supervise, verify, or accept responsibility for:

- dosages exceeding label recommendations;
- combinations with other products or substances;
- off-label, experimental, or prolonged-use protocols;
- any advice, protocol, or regimen recommended or supervised by a healthcare practitioner or third party.

Any such use is undertaken entirely at the customer’s own risk. Responsibility for practitioner advice rests solely with the practitioner and the user.

MCS Formulas B.V. does not authorize third parties, resellers, practitioners, or affiliates to make health, medical, or therapeutic claims in connection with its products. Any commercial promotion or resale involving such claims is undertaken solely at the promoter’s own risk and may result in refusal of further supply. To ensure product authenticity, safety, and traceability, MCS Formulas B.V. maintains controlled distribution and batch tracking. Products sold outside authorized channels may not be verifiable as original or properly handled.

5. Orders, Acceptance & Refusal

Orders constitute offers to purchase. We reserve the right to accept, reject, limit, or cancel orders at our discretion, including where there are reasonable grounds to believe that products are being acquired for unauthorized commercial resale, redistribution, or other use inconsistent with these Terms, as well as in cases of suspected fraud, misuse, undeliverable address, or stock limitations.

Order confirmation does not constitute final acceptance. If payment has been taken, refunds are handled in accordance with applicable law.

Customers are responsible for providing accurate, complete, and up-to-date billing, shipping, and contact information. We are not responsible for delays or losses resulting from incorrect information provided at checkout.

Product Changes, Availability & Discontinuation:

Products are offered subject to availability. We may modify, replace, limit, or discontinue products (including formulations, packaging, labels, and specifications) from time to time. Any such changes apply only to future orders. If a product becomes unavailable after you place an order, we will inform you and, where applicable, offer an alternative or refund the affected item.

Minor variations between batches and updates to ingredients, excipients, capsule shells, or packaging may occur due to manufacturing, supply, or regulatory requirements. Such variations do not constitute a defect, provided the product remains within specification and consistent with the information made available to customers at the time of purchase, including the product label and website description.

6. Pricing and Currency

Prices are fixed and displayed as follows:

- EUR – customers outside the USA and United Kingdom
- USD – customers in the United States
- GBP – customers in the United Kingdom

Prices are fixed in the displayed currency. We are not responsible for bank, card-issuer, or payment-provider fees (including conversion or cross-border charges).

Price Changes:

MCS Formulas B.V. reserves the right to change product prices at any time. Any price changes apply only to orders placed after the updated prices are published on the website. The price displayed at the time an order is placed and accepted will be the final price for that order.

Discount Codes and Promotional Offers:

From time to time, MCS Formulas B.V. may offer discount codes or promotional offers.

Discount codes:

- are optional and offered at our discretion;
- may be limited to specific products, customers, regions, quantities, or time periods;
- must be entered at checkout to be valid.

Discount codes cannot be applied retroactively to orders already placed or completed. We reserve the right to modify, suspend, or withdraw any discount code at any time prior to its use, including in cases of misuse, unauthorized sharing, or suspected abuse. Discount codes are non-transferable and may not be shared publicly unless expressly stated otherwise. In the event of an obvious technical error affecting a discount code, we reserve the right to cancel the affected order and refund any payment received.

Discount codes that have not been communicated directly by MCS Formulas B.V. to a customer (for example via our website, official newsletter, or direct email) are not guaranteed to be valid. We are unable to verify, honor, or discuss discount codes obtained from third-party websites, forums, browser extensions, or other unofficial sources.

From time to time, we may issue specific or limited discount codes for defined purposes. Such codes may be modified, restricted, or discontinued at any time prior to use. Discontinued or expired codes cannot be reactivated or substituted. All discount codes must be applied at checkout and cannot be applied retroactively.

7. Shipping, Delivery & Service Points

All orders are processed and shipped from our fulfillment center with express international delivery options. Delivery times are estimates and not guaranteed.

Home Delivery:

The carrier will normally attempt delivery once at the provided address. If unsuccessful, the carrier may redirect the parcel to a service point, pick-up location, or secure drop-off location in accordance with its procedures.

Signature-required delivery must be requested explicitly during checkout and may not be available in all regions.

If a shipment is redirected and not collected within the carrier’s specified timeframe, it will be returned to our warehouse and treated as unclaimed. Any refund will be subject to deduction of shipping and return costs.

8. Import Duties & Delivery Costs

EU, United Kingdom, United States & Australia:

For customers in the EU, UK, USA, and Australia, all prices shown are final. No additional import duties, VAT, or customs fees are expected at delivery. If contacted for payment in these regions, please contact us before paying.

All Other Countries:

Customers outside the EU, UK, USA, or Australia may be subject to import duties, VAT, or customs clearance fees determined by local authorities. As a gesture of support, upon presentation of documentation, MCS Formulas B.V. will reimburse 50% of confirmed import charges, unless otherwise stated. This support:

- is available only to consumers (B2C) and does not apply to business (B2B) purchases;
- is discretionary;
- must be requested within 14 calendar days of the confirmed delivery date;
- does not apply to refused or abandoned shipments; and
- does not constitute an admission of liability.

9. Risk of Loss & Proof of Delivery

Risk passes once delivery is confirmed by the carrier to the address provided, in accordance with applicable consumer law. Where proof of delivery exists, we are not liable for packages lost or stolen after delivery. Delivery issues must be reported within 14 calendar days of the carrier’s delivery date. At our discretion, acting reasonably and in good faith, we may resend an order as a goodwill gesture. Any replacement is final and non-refundable.

Signature on Delivery:

Unless a signature-required delivery option is expressly requested by the customer in the comment field available during checkout, shipments may be delivered by the carrier without signature, in accordance with the carrier’s standard delivery practices.

Where delivery without signature is used, the carrier may leave the package at the delivery address in a location it considers secure, or may deliver the package to a neighbor or designated alternative location, where permitted by the carrier and local practice.

Customers who wish to require a signature upon delivery must clearly indicate this request in the comment field during checkout.
If an additional fee applies for signature-required delivery, we will inform you before shipment and proceed only after confirmation.

By choosing delivery without a signature requirement, or by not requesting signature delivery at checkout, the customer acknowledges and accepts this delivery method and the associated risk once the carrier records delivery.

10. Customs, Authorities & Inspections

Customs authorities may inspect, open, delay, damage, or confiscate shipments. We bear no liability for such actions.

If a product is opened or tampered with by customs, notify us promptly with evidence. Any replacement is discretionary, final, and non-refundable.

The customer is responsible for cooperating with the carrier and customs authorities, providing any requested information or documents, completing the required import formalities and paying any applicable duties, taxes or clearance charges.

If a shipment cannot be delivered or imported because the customer does not respond, does not provide the required documentation, refuses the shipment, requests its return or otherwise fails to complete the import process, any refund will be considered only after the parcel has been returned to and inspected by us.

Any refund will be reduced by all costs incurred, including the original shipping costs, return shipping costs, customs or carrier charges, storage costs, packing and fulfilment costs, payment-processing or bank fees and other related expenses.

If the parcel is abandoned, destroyed, seized, not returned, or if the products are no longer suitable for resale, no refund will be issued. Products held by customs or the carrier for more than 14 days may be considered unsuitable for resale due to unverifiable storage conditions and may be discarded upon return.

This does not affect any mandatory rights under applicable consumer law.

11. Inspection of Goods & Reporting Deadlines

Customers must inspect shipments promptly upon delivery.

Issues must be reported within the following timeframes:

- Visible damage (broken jars, leaks, cracked glass, damaged packaging): within 48 hours
- Damaged or compromised security seals: within 48 hours
- Missing or incorrect items: within 5 calendar days

Reports must include clear photographic evidence of packaging (inside and outside photo of the box), products, and shipping labels. Claims outside these timeframes or without sufficient evidence may be declined, subject to mandatory consumer rights.

12. Opened, Unsealed & Missing Products

For health and hygiene reasons (EU Directive 2011/83/EU, Art. 16), opened or unsealed products cannot be returned or refunded.

- Damaged seals: replacement may be offered at our discretion; no monetary refund.
- Missing items: replacement may be offered at our discretion; no monetary refund unless required by law.

Any replacement is a goodwill gesture and not eligible for further compensation.

13. Storage, Stability & Natural Variations

Food supplements are sensitive to heat, humidity, and light and must be stored as instructed. We are not responsible for degradation caused by improper storage after delivery, prolonged customs storage, or environmental exposure. Natural variations in color, taste, odor, or texture may occur between batches and do not constitute defects.

14. Regulatory Status & Personal-Use Limits

Supplement regulations vary by country. Customers are responsible for ensuring products are permitted for personal use and for ordering quantities consistent with personal-use limits.

We are not liable for regulatory restrictions, seizures, or import refusals based on local laws or interpretations.

15. Individual Sensitivity & Adverse Reactions

Individual responses vary. We are not responsible for adverse reactions due to sensitivity, allergies, interactions, or misuse. Discontinue use and consult a healthcare professional if adverse reactions occur.

16. Prohibition of Unauthorized Resale, Redistribution & Research Use

Products are sold exclusively for personal end-consumer use.

Without prior written authorization from MCS Formulas B.V., products may not be commercially resold, redistributed, supplied to third parties, or used in laboratory research, scientific studies, or clinical trials, nor promoted with disease or therapeutic claims.

Unauthorized commercial use may result in refusal of future orders, account suspension, and other remedies available under applicable law.

Products sold through the MCS Formulas webshop are intended for consumer use unless otherwise agreed in writing by MCS Formulas B.V.

Any use of MCS Formulas products for research, clinical studies, investigational purposes, pharmaceutical development, drug development, commercial development, product development, regulatory submissions, or any other non-consumer purpose requires prior written approval from MCS Formulas B.V.

The purchaser acknowledges and agrees that all research, clinical, investigational, pharmaceutical, regulatory, and commercial development activities involving MCS Formulas products are conducted solely under the purchaser’s responsibility. The purchaser is solely responsible for study design, dosage selection, administration protocols, participant safety, regulatory compliance, ethics approvals, importation, customs clearance, product storage, record keeping, and all related activities.

MCS Formulas B.V. does not sponsor, supervise, monitor, endorse, approve, or participate in any such activities unless expressly agreed in writing.

The purchaser shall not state or imply that MCS Formulas B.V. sponsored, endorsed, approved, supervised, collaborated in, or otherwise participated in any research, clinical, investigational, pharmaceutical, or commercial development activity without prior written consent from MCS Formulas B.V.

Where reasonably applicable, publications, presentations, abstracts, posters, reports, and similar communications arising from work involving MCS Formulas products shall acknowledge MCS Formulas B.V. as the supplier of the product used.

MCS Formulas B.V., its trademarks, logos, trade names, product names, marketing materials, and other intellectual property may not be used in advertising, promotional materials, investor communications, press releases, regulatory submissions intended for public disclosure, or other commercial communications without prior written consent from MCS Formulas B.V.

MCS Formulas B.V. reserves the right to refuse, restrict, discontinue, or impose additional conditions on the supply of products intended for research, clinical, investigational, pharmaceutical, or commercial development purposes.

Requests for certificates, declarations, customized documentation, audits, regulatory support, technical reviews, scientific support, or other project-specific services may be subject to separate service fees at MCS Formulas B.V.’s then-current hourly rates.

17. Fraud Prevention

To protect our customers, our business, and the integrity of our services, MCS Formulas B.V. may collect and analyze certain technical and transactional information for the purposes of fraud prevention, abuse detection, and security monitoring.

This may include, but is not limited to: IP addresses; device identifiers (such as browser type and operating system); approximate location data (city or country level); time and frequency of visits; and transaction-related information.

Such processing is carried out on the basis of our legitimate interest pursuant to Article 6(1)(f) of the General Data Protection Regulation (GDPR), namely to detect and prevent fraudulent, abusive, or unlawful activities and to safeguard payment transactions and systems.

The collected data is used exclusively for security-related purposes, is handled confidentially, and is not used for profiling or marketing. Data is retained only for as long as necessary to fulfill these purposes and in accordance with our data retention policies.

19. Intellectual Property

All content, trademarks, trade names, product names, logos, and materials, including but not limited to MCS Formulas®, and associated brand assets, are owned by or licensed to MCS Formulas B.V.

Any use of these trademarks or brand assets in commercial communication, including advertising, marketing, endorsements, recommendations, affiliate content, reviews, or other promotional materials, requires prior written authorization from MCS Formulas B.V.

Unauthorized use is prohibited and may result in refusal of supply, delisting requests, and other remedies available under applicable law.

20. User Feedback, Comments and Submissions

If you submit ideas, suggestions, feedback, reviews, testimonials, or other content to us – whether at our request or voluntarily, and whether via the website, email, social media, or other means (collectively, “Submissions”) – you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, publish, adapt, translate, and distribute such Submissions for business, informational, or marketing purposes.

We are under no obligation to treat Submissions as confidential, to provide compensation, or to respond to any Submission.

We reserve the right, but not the obligation, to review, moderate, edit, or remove Submissions that we reasonably consider unlawful, misleading, offensive, defamatory, infringing, or otherwise inconsistent with these Terms.

You represent and warrant that your Submissions do not violate any third-party rights (including intellectual property or privacy rights), do not contain unlawful or harmful content, and do not include malicious code or misleading identity information.

Any personal data contained in Submissions will be processed in accordance with our Privacy Policy.

21. Errors, Inaccuracies and Omissions

From time to time, information on our website or in our communications may contain typographical errors, inaccuracies, or omissions relating to product descriptions, specifications, pricing, promotions, shipping charges, transit times, or availability.

We reserve the right to correct such errors, inaccuracies, or omissions and to update or cancel orders where information is inaccurate, including after an order has been submitted, to the extent permitted by applicable law.

We are under no obligation to update, amend, or clarify information except where required by mandatory law.

22. Limitation of Liability

To the maximum extent permitted by law, liability is limited to the purchase price paid. Indirect, incidental, or consequential damages are excluded.

23. Indemnification

You agree to indemnify and hold harmless MCS Formulas B.V. from claims arising from misuse, breach of these Terms, or unlawful conduct.

24. Force Majeure

We are not liable for delays or failures due to events beyond reasonable control, including customs actions, carrier failures, extreme weather conditions, strikes, pandemics, or governmental measures.

25. Entire Agreement

These Terms, together with the documents referenced herein, constitute the entire agreement between you and MCS Formulas B.V. and supersede all prior communications or agreements.

26. Governing Law & Jurisdiction, Changes & Severability

Dutch law applies. Consumers may bring claims in their country of residence where mandatory law so provides. For non-consumers, Dutch courts have exclusive jurisdiction.

We may update these Terms. The version in effect at the time of order applies.

If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions shall remain in full force and effect.

Nothing in these Terms is intended to restrict lawful resale rights under applicable EU law. However, resale or commercial use involving unauthorized trademark use, misleading association, or non-compliant promotion is not permitted.
